These Terms & Conditions explain how Digital Angels AI works with clients. By booking a discovery call, purchasing a service, signing an agreement, or working with Digital Angels AI, you agree to these terms.
1. About Digital Angels AI
Digital Angels AI provides AI-powered virtual assistant, marketing, content, admin, business support and digital services for small business owners, entrepreneurs and brands.
Services may include, but are not limited to:

✦ Client communications

2. Working together
Before starting work together, we may invite you to complete an enquiry form, onboarding form, brand voice form or discovery call. This helps us understand your business, goals, systems, tone of voice and the support you need.
Your services, package, start date, payment terms and any agreed deliverables will be confirmed in writing by email, proposal, invoice or service agreement.
3. Monthly retainers
Our monthly retainer packages are designed to provide ongoing support.
Unless otherwise agreed in writing, monthly retainers have a minimum commitment of 3 months. This gives us time to understand your business, set up your systems, calibrate your brand voice and create consistent momentum.
After the initial 3-month commitment, your retainer moves onto a rolling monthly basis.
After the initial 3 months, you may adjust, pause or cancel your retainer by giving 30 days’ written notice by email to [email protected].
4. Retainer hours
Your monthly retainer includes the number of support hours agreed in your package or proposal.
Your hours can be used flexibly across agreed services, depending on your business needs. We will work with you to prioritise the most important tasks each month.
Unused hours do not automatically roll over unless agreed in writing. This is because your monthly retainer reserves capacity in our diary.
If you need more support than your monthly retainer includes, additional hours may be available subject to capacity and charged at the agreed extra hourly rate.
5. Packages and pricing
Current package pricing may be displayed on the website. Prices may change at any time, but any changes to your existing retainer will be communicated before they take effect.
All prices are shown in GBP.
Digital Angels AI is currently [not VAT registered / VAT registered]. If this changes, VAT may be added where required by law.
6. Payments
Payments must be made in advance unless otherwise agreed in writing.
Monthly retainers are usually invoiced monthly and must be paid before work begins for that month.
If payment is late, work may be paused until the outstanding amount is received. We reserve the right to charge reasonable late payment fees or interest where applicable.
7. Cancellations and refunds
Because monthly retainers reserve time, capacity and resources, payments are generally non-refundable once the month has started.
If you cancel before the end of your initial 3-month commitment, the remaining balance for the agreed minimum term may still be due.
For one-off projects, refunds are not usually available once work has started, research has been carried out, planning has begun or deliverables have been created.
If you are purchasing as a consumer rather than as a business, you may have additional legal rights. Please contact us before purchasing if you are unsure.
8. Client responsibilities
To deliver work effectively, you agree to provide the information, access, feedback and approvals needed in a timely way.
This may include:

✦ Logos, images and content assets
✦ Website or platform access
✦ Product or service information
✦ Tone of voice examples
✦ Login details or invited user access
✦ Feedback and approvals
You are responsible for making sure any information you provide is accurate, lawful and suitable for use.
Digital Angels AI is not responsible for delays caused by missing information, late feedback, unavailable access or delayed approvals.
9. Approvals and final responsibility
We will use care, experience and professional judgement when creating content, copy, systems, ideas, strategies and support work.
However, you are responsible for reviewing and approving final content, campaigns, emails, website updates, public posts, offers, legal claims, health claims, financial claims or any client-facing material before it is published or sent.
You are also responsible for ensuring that your business complies with any relevant industry rules, advertising standards, platform policies and legal requirements.
10. AI usage
Digital Angels AI uses AI tools strategically to improve speed, creativity, research, planning, content development and workflow support.
AI is used as a tool, not as a replacement for human judgement. Work is reviewed, refined and shaped by a human before delivery wherever appropriate.
You understand that AI-generated suggestions may occasionally contain inaccuracies, omissions or wording that requires checking. We do not guarantee that AI-generated output will be error-free.
You should not rely on AI-generated content as legal, medical, financial, tax or professional advice.
11. Confidentiality
We respect the confidentiality of your business, systems, ideas, documents, login information and client data.
We will not share your confidential information with third parties unless:
✦ it is required to provide the service
✦ you have given permission
✦ it is required by law
✦ it is already publicly available
You also agree not to share our private processes, templates, resources, prompts, systems or training materials without permission.
12. Login details and access
Where possible, please provide access through secure user permissions rather than sharing passwords.
If login details are required, you are responsible for ensuring they are shared securely and updated when needed.
Digital Angels AI is not responsible for issues caused by third-party platforms, account restrictions, platform changes, downtime, hacking, loss of access or technical faults outside our control.
13. Intellectual property
Once paid for in full, you may use the final approved content, copy, designs or documents created specifically for your business.
Digital Angels AI retains ownership of its pre-existing templates, frameworks, prompts, systems, resources, methods, processes and training materials.
You may not copy, resell, redistribute, teach, share or claim ownership of Digital Angels AI templates, systems, resources or training materials unless agreed in writing.
14. Portfolio and testimonials
We may ask to use completed work, testimonials, feedback or results as part of our portfolio, website, social media or marketing.
We will not share sensitive information, confidential business details or private client data without permission.
15. Results and guarantees
Digital Angels AI aims to provide high-quality support that helps your business become more organised, visible and consistent.
However, we cannot guarantee specific financial results, follower growth, sales, leads, engagement, platform performance or business outcomes.
Results depend on many factors, including your offer, audience, pricing, market, consistency, advertising budget, sales process and client experience.
16. Third-party tools and platforms
We may use or recommend third-party platforms such as AI tools, social media platforms, email marketing tools, website builders, ecommerce platforms, design tools, project management systems or automation tools.
You are responsible for the costs, terms, security and account management of any third-party tools used in your business.
Digital Angels AI is not responsible for changes, errors, downtime, data loss, account suspension or issues caused by third-party platforms.
17. Courses, resources and digital products
Digital products, templates, prompt packs, resources, courses or downloadable materials are for your own personal or business use only.
You may not resell, share, copy, reproduce, distribute or teach them as your own.
Due to the instant-access nature of digital products, refunds are not usually available once access has been provided, unless required by law.
18. Limitation of liability
Digital Angels AI will not be liable for indirect, incidental or consequential losses, including loss of profits, loss of sales, loss of business, loss of data, loss of goodwill or loss of opportunity.
Our total liability for any claim will be limited to the amount paid by you for the relevant service in the previous one month, unless the law says otherwise.
Nothing in these terms limits liability where it would be unlawful to do so.
19. Changes to these terms
We may update these Terms & Conditions from time to time. The latest version will be published on our website.
